Abstract
Within certain limits the parent company is entitled to impose on its subsidiary binding directives. These directives affect the behavior of subsidiary's directors. This paper examines such behavior with specific reference to directors' conduct and their disclosure obligation in relation to different interests pursued by the parent company through its directives. In the light of this assessment the paper proposes a definition of the area where the "privilege of the group" operates
