Abstract

Widespread in the international context, the nomination of board members by outgoing directors is increasingly popular in Italy. With a focus on concentrated ownership companies, this article discusses its benefits, risks, and compliance with corporate law, in dialogue with the recent call for attention from the Italian supervisor on listed issuers.
