Abstract
Does the extinction of a demerged company prevent its creditors from obtaining a declaration of bankruptcy? The Italian Supreme Court has denied an action to annul the declaration of bankruptcy, for good reasons. However, the reasoning is not complete and fails to get rid of some domestic oddities of the Italian doctrine of mergers and demergers.
