Banche quotate e qualità dell'informativa sulla governance

The paper examines several structural aspects of corporate governance and ownership and control model of the 21 Italian listed banks at the end of 2012; second, we measure the effects on board structure of the new Bank of Italy Consultation document on Corporate governance published in december 2013, in terms of size, composition, gender and diversity, and functioning of the Board. Third we evaluate as poor the quality of corporate governance disclosure of the Corporate governance Reports published in 2013 and try to suggest how to improve it.
