UN'ANALISI EMPIRICA DELLA CORPORATE ITALY: SOGGETTI GIURIDICI, ASSETTI PROPRIETARI E FINANZIARI E CORPORATE GOVERNANCE 2005-2013

[Autom. eng. transl.] The present work intends to deepen some evidences related to the Italian corporate universe, analyzing in the first place the consistencies and dynamics of the different legal entities that carry out business activities starting from 2004, the year in which the introduction of the Vietti Reform is traced , then focusing attention on the relative ownership structures and financial structures, as well as investigating some salient issues of corporate governance of the same. From this point of view, the study to be proposed presents two main objectives. The first objective intends to complete, with the help of recent data as at 30 June 2013, previous analyzes relating to the consistencies, the dynamics of the natures of the various legal entities present in Italy, as well as the new legal institutions introduced by the aforementioned Reform. Taking into consideration a wider historical period we are convinced that a historical reconstruction of almost ten years can offer useful and interesting ideas for the academic, institutional and professional debate, in order to better understand the different business phenomena and their relevance within of the national economic fabric. Secondly, this research presents, in a completely innovative way with respect to previous studies, some data related to "Corporate Italy", never previously investigated in a systematic way. In particular, it intends to present an analysis on the subject of ownership structures of joint-stock companies and unlisted Italian limited liability companies that will complement the exposure of data relating to deals occurred between 2012 and 2103: in particular to transactions of registrations, cancellations, mergers and acquisitions, transformations and crisis situations.
