Abstract

[Autom. eng. transl.] The essay proposes to examine the systems of protection of minorities and members in cooperative enterprises, starting from the double observation that these systems are mostly aimed at protecting from the prerogatives of the administrative body and that they mainly rest on heterotutela mechanisms (regulations and publications) . Furthermore, the powers of self-defense granted to the member (or, more rarely, to a group of members) are not neglected: in particular, the attention is paid to the powers of voice (above all, the institution of the "separate" vote and the right to challenge the shareholders' resolutions) and internal control (above all, the inspection). The concluding remarks are dedicated to the systems of protection of listed cooperatives, with specific reference to cooperative banks.
