RAPPORTO FIN-GOV SULLA CORPORATE GOVERNANCE IN ITALIA

[Autom. eng. transl.] This Report analyzes corporate governance and sustainability issues in the context of companies listed on the Italian Stock Exchange (MTA) managed by Borsa Italiana. The Report follows a broad approach to governance issues. It examines not only compliance with corporate governance, but also how companies have applied the legislation in the areas of corporate governance and sustainability. This second Report analyzes the corporate governance and sustainability of listed Italian companies. The topics analyzed are: composition and functioning of the BoD, independence of directors (and statutory auditors), investor dialogue policies, board committees, remuneration policy, disclosure on sustainability.
