Abstract
The prohibition of societas leonina is not a fundamental principle of company law and is not a a public policy matter. It encompasses two different situations, both typical of partnerships, one of which has its roots in the Roman Law and the other in the Canon Law. The first is incompatible with several dispositions of the existing Company Law, and the second has little importance except in very peculiar cases in which a physical person participates in a limited liability company with all of herself (labour resources and all of her assets).
