Abstract

[Autom. eng. transl.] The essay proposes to examine the admissibility and, in the affirmative, the discipline applicable to "atypical" transformations, that is to say to the transformations not mentioned by the normative data. The survey is conducted by distinguishing the atypical transformations between homogeneous (that is, those that affect only the legal form of the company) and heterogeneous (that is, the one that, besides affecting the legal form, also affects the purpose or the associative structure or ownership of the assets) . Among the first particular attention is devoted to the transformation of consortia into consortium companies and vice versa and of business networks in companies (consortium) and vice versa. Among the latter, particular attention is paid to the transformation of an individual company into a single-person company and vice versa. The concluding remarks are dedicated to the cross-border transformation, as an alternative operation of (or which allows to realize) the transfer of the registered office to the outside (or at least in the European context).
