Le società per azioni in mano pubblica. Il caso delle s.p.a. derivanti dalla trasformazione di enti pubblici economici ed aziende autonome statali

[Autom. eng. transl.] The volume draws inspiration from the recent processes of transformation of economic public bodies and autonomous state-owned companies into joint-stock companies to redirect the system of the nature and discipline of public limited companies to public attention in the doctrinal and jurisprudential debate. Through an effort of recomposition and reduction of the structural and functional profiles inherent to the subjective figures studied and the ascription of the latter to the category of CDs. legal companies, some reconstructive criteria of the private law and public law applicable to them are proposed. On the basis of these criteria, we proceed, therefore, to the reconstruction of the minimum common denominators of company discipline deriving from the aforementioned formal transformations. The study addressed intends to represent the occasion, finally, to formulate some considerations regarding the current structure of the organization of public authorities and to suggest, by this way, the rethinking of a renewed notion of public subjectivity, which originates from the evolution of the national system, but it is also largely confirmed by the most recent provisions of Community law.
