Abstract

[Autom. eng. transl.] The monograph is dedicated to the study of the related actions institute, introduced by the 2003 company reform. The author starts from the analysis of the phenomenon by studying the historical and comparative experience of "sector" actions, ie the categories of shares whose property rights are linked to divisions of the complex corporate activity. The economic-financial reasons for the dissemination of this instrument are illustrated, especially in the early 2000s and the results of corporate finance studies on the subject. In the second chapter the author analyzes the elements of the case, verifying the compatibility of the institution and its variations with the principles of the system. In the third chapter the author, highlighting the shortcomings of the synthetic regulation expressed, elaborates an implicit discipline, proceeding to enucleate by analogy from the right of the groups a specific protection for the correlated shareholders.
