Il Codice di Corporate Governance. Da soluzione a problema

It seems we don't want to, we can't, we shouldn't go “beyond” the Corporate Governance Code. Something, however, at least beyond our national borders, is moving, having not yet taken on the characteristics of a "counter-trend". We begin to explore that "beyond", without awe for the totem of Corporate Governance Codes. “Beyond”, starting from the Codes. The proposal for a profound rethinking of the Corporate Governance Code is generated by its overall evaluation as a problem. A multiple and multipurpose problem, since at least the normative, the interpretative and the legal policy issues, mostly absorbed in the reflections of our doctrine, can and must be isolated from this Code. Overall problem, that of the Corporate Governance Code, which nevertheless suffers from multiple positive pre-understandings and is accompanied by deep-rooted and immovable favorable subjective evaluations, which evade the overall problematic nature and problematic complexity of the "Corporate Governance Code" phenomenon .
