[Autom. eng. transl.] The contribution is part of a new treaty on limited liability company that covers in depth all the discipline of this important corporate type with interventions by a large group of academics of commercial law coordinated by the curators of the work, Profs Carlo Ibba and Giorgio Marasà. The contribution on the directors firstly addresses the issue of the effects of the greater flexibility of the organizational forms of the srl on the relationship of administration looking at the different profiles of this theme, from the responsibility of the power of administration to the establishment and extinction of this relationship. In the second section, the contribution analyzes the discipline of representation, including the legal and conventional limits of this power and the conditions for their opposition to third parties. The third section focuses instead on the regulation of conflicts of interest and the invalidity of directors' decisions rather than board resolutions.
