Abstract

[Autom. eng. transl.] The volume analyzes the discipline of judicial control on corporations, as resulting from the reform of the institute operated in 2003. It is composed of a wide introduction, which gives an account of the historical origin of judicial control and of the main interpretative problems - of law substantive and procedural - raised by the same. The work then develops into six chapters, which deal with the prerequisites for the application of the remedy (chap. 1), of the subjects entitled to complain (chap. 2), of the preliminary phase and of the measures that can be taken by the judge (chap. 3 , 4 and 5), of the appeal appeal system (chapter 5). Particular attention is paid to the relationships between judicial control and other remedies available to legitimate subjects in the hypothesis of administrative irregularities, with the intent to specify the operating borders of the institution. The last part (chap. 6) is dedicated to exploring the applicability of judicial control to companies other than spas, as well as the special rules applicable to listed companies or companies operating in certain business sectors (credit, financial, insurance), in which the audience of persons entitled to complain pursuant to art. 2409 of the Italian Civil Code is extended, or the code standard is replaced by regulations that introduce administrative controls and remedies.
