Abstract

[Autom. eng. transl.] The economic and financial crisis that exploded with the bankruptcy of Lehman Brothers called into question the operating model and the strategic choices implemented by the Investment Banks and, in fact, their useful function within a financial system. The infamous pursuit of short-term profit, the assumption of very high levels of risk favored by a weakening of regulations and internal controls have brought investment banks to the "verge of extinction". The choices that are often ethically questionable if not even illegal have undermined its reputation and caused the application of heavy sanctions by the supervisory authorities. Yet, for an economic system, it remains essential to have an evolved financial chain within which the Corporate & amp; Investment Banking are essential for the high added value they are able to express. Access to these particular types of transactions often represents an opportunity for the company to undertake a virtuous path to improve its financial culture. The text describes the techniques, logic and constraints that govern the construction of the typical operations of this specific area of intermediation. In particular, the discussion focuses on analyzing the structure of operations normally developed according to a "tailor made" logic. The intermediary is in fact required to support the company by following a logic of strong personalization in order to be able to meet the financial needs of greater complexity. The volume provides logical and theoretical support to approach the technicalities used by operators in corporate banking (company evaluation, creditworthiness analysis, investment analysis, diagnosis of financial needs and risk coverage). At the same time, it offers the opportunity to deepen, with an application focus, the analysis of the various Corporate & amp; operations Investment banking which represent the set of activities of those operating in the sector (venture capital and private equity, company listing and bond issues, mezzanine finance, M & amp; A and LBO transactions, company restructuring, risk hedging ).
