Abstract
[Autom. eng. transl.] In illustrating the state of the debate regarding the rule that establishes the limits to the purchase of shares of the parent company by the subsidiary, the evolution of the discipline is highlighted, which was gradually aligned with that of the purchase of treasury shares, for analogy of ratio. Some critical points of the law are also underlined, concerning in particular: the definition of the control relationship, with respect to the ratio of the norm; some inconsistencies in budgetary discipline; the insufficient protection of the shareholders of the parent company; the effects of the purchase in the case of totalitarian control. The hypotheses of application of the law to companies other than spas and companies as well as those in which one of the two companies is governed by a non-Italian legal system are also examined.
